Quantum Terminal (the “Platform,” “we,” “us,” or “our”) is operated by Quantum Terminal LLC (“Company”).

By accessing, registering for, or using the Platform (including website, mobile apps, API, data feeds, alerts, analytics, and any related services), you (“User,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Platform.

1. Limitations on Investment Guidance and Professional Advice

The Platform provides real-time market data, options flow, unusual activity alerts, dark pool prints, analytics, and related tools for informational and educational purposes only.

  • We are not a registered broker-dealer, investment adviser, or fiduciary with the U.S. Securities and Exchange Commission (SEC), Financial Industry Regulatory Authority (FINRA), or any state or foreign regulatory authority.
  • Nothing on the Platform constitutes investment, financial, tax, legal, or insurance advice, an offer to buy/sell securities, or a recommendation.
  • You are solely responsible for your investment decisions, due diligence, and all associated risks (including the potential loss of more than your principal). Options and derivatives trading involve substantial risk of loss.
  • Consult a qualified professional before trading. Past performance, unusual activity, or any signals do not guarantee future results. We disclaim all liability for any trading losses or decisions made based on the Platform.

SUBSTANTIAL RISK WARNING: Investing involves significant risk. Use the Platform only as one starting point for your own independent research. It should NOT be assumed that any methods, techniques, or indicators presented will be profitable or will not result in losses.

2. Registration, Account Security, and User Responsibilities

You must provide accurate, complete registration information and keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately of any unauthorized access.

We may terminate or suspend accounts for violations or suspected misuse.

3. License Grant and Ownership

We grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform solely for your personal or internal business purposes during an active paid subscription.

All content, data, software, algorithms, designs, trademarks, and materials on the Platform are our proprietary intellectual property (or licensed from third parties). You acquire no ownership rights. Title and all intellectual property rights remain with us or our licensors.

4. Restrictions (Strictly Enforced)

You agree not to:

  • Share your account, password, or access with anyone. Simultaneous logins from multiple locations may trigger automatic lockouts (as required by our data providers).
  • Scrape, data-mine, automate extraction, use bots, or employ any unauthorized means to access or collect data (except through approved APIs, if offered).
  • Copy, modify, reproduce, republish, distribute, transmit, sell, resell, or commercially exploit any content or data.
  • Reverse engineer, decompile, disassemble, or attempt to derive source code.
  • Remove or alter copyright, trademark, or proprietary notices.
  • Use the Platform for unlawful purposes, to promote external paid services in our communities, or to share third-party premium data.
  • Violate any third-party data provider or exchange agreements (we may enforce these strictly).

Violations may result in immediate termination without refund and legal action where appropriate.

5. Subscription, Payment, and Refund Policy

  • Access requires a paid subscription (monthly, annual, or other plans).
  • Subscriptions auto-renew unless canceled at least 24 hours before the renewal date.
  • Digital Goods — No Refunds: All sales are final. Processed payments are non-refundable. You may cancel future recurring charges through your account settings.
  • We may change prices with notice. Existing subscribers may be grandfathered in certain cases at our discretion.
  • Any exchange or third-party data fees are non-refundable.
  • You are responsible for all charges on your account and for obtaining necessary internet connections.

Special rules may apply to any lifetime or promotional plans (specified clearly on the pricing page).

6. Data Accuracy and Disclaimers

Market data is obtained from third-party sources and may contain delays, inaccuracies, omissions, or errors. The Platform is provided “AS IS” and “AS AVAILABLE” with no warranties of any kind (express or implied), including accuracy, completeness, timeliness, or fitness for a particular purpose.

We may modify, suspend, or discontinue features at any time.

7. Limitation of Liability and Indemnification

To the maximum extent permitted by law, the Company, its affiliates, officers, directors, employees, and licensors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages (including trading losses, lost profits, or data inaccuracies), even if advised of the possibility.

Our total liability shall not exceed the total fees you paid to us in the twelve (12) months preceding the claim.

You agree to indemnify, defend, and hold harmless the Company from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use of the Platform, your trading activities, or your violation of these Terms.

8. Termination

We may suspend or terminate your access at any time, with or without notice, for violations or other reasons. You remain responsible for any outstanding payments. Upon termination, your license ends immediately, and you must cease all use.

9. Changes to Terms

We may update these Terms from time to time. Continued use after changes constitutes acceptance. We will post the updated Terms and notify you where reasonably practicable.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. Subject to the binding arbitration provision below, any disputes shall be resolved exclusively in the state or federal courts located in Wilmington, Delaware, and you consent to the personal jurisdiction of those courts.

Binding Arbitration and Class Action Waiver. Except for claims for injunctive or other equitable relief, you and the Company agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Platform (a “Dispute”) shall be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, then in effect. The arbitration shall be conducted in Wilmington, Delaware (or remotely at the arbitrator’s discretion) by a single arbitrator, and judgment on the award may be entered in any court of competent jurisdiction.

You and the Company each waive any right to a jury trial and any right to bring or participate in a class, collective, consolidated, or representative action. The arbitrator may award relief only on an individual basis and may not consolidate or join the claims of more than one person. If this class-action waiver is found unenforceable as to any claim, that claim shall be severed and litigated in court, while the remaining claims continue in arbitration. You may opt out of this arbitration agreement by sending written notice to [email protected] within thirty (30) days of first accepting these Terms.

11. Miscellaneous

  • Severability: If any provision is invalid, the remainder remains in effect.
  • No waiver of any breach constitutes a waiver of subsequent breaches.
  • Entire Agreement: These Terms (together with the Privacy Policy) constitute the full agreement.
